Experience shows that a large number of company reorganisations are filed for entry in the commercial register in June and December. This regularly leads to a backlog in processing. The months of June and December have been particularly popular for implementing restructurings for years. Whether it is a sole proprietorship that is to be incorporated into a newly founded limited liability company or public limited company, the merger of two group subsidiaries or even spin-offs or conversions. During these months, the Land Register Inspectorate and Commercial Register receive an above-average number of registration transactions, some of which are very complex.

Transactions that are to be entered in the Commercial Register of the Canton of Graubünden by 30 June or 31 December 2025 must be received by our office by 9 June or 8 December 2025 at the latest with complete and registrable supporting documents. Transactions received after this date will be processed as quickly as possible within the limits of our capacities. If a preliminary review of the corresponding drafts is required, this must be submitted by 01 June or 02 December 2025.
